Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and the EvenTrade team ("EvenTrade", "we", "us" or "our") and govern your access to and use of the EvenTrade Chrome extension, the website at eventrade.in, the public watchlist share pages we host, and any related services, features and content (together, the "Service"). By installing, accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

1. Eligibility

The Service is intended for adult retail users who are legally capable of entering into a binding contract under the Indian Contract Act, 1872 (or the equivalent law of your jurisdiction), and who are at least 18 years old. By using the Service you represent and warrant that you meet these requirements and that your use complies with all laws applicable to you, including the rules and regulations of any exchange, broker or regulator to which you are subject.

2. Not Financial, Investment or Professional Advice

The Service is an informational and organisational tool only. It aggregates, displays and helps you organise publicly available market information and your own watchlists. Nothing provided through the Service — including quotes, charts, performance metrics, signals, alerts, screeners, rankings, share pages, directory listings, or any output of any in-app assistant — constitutes investment advice, financial advice, trading advice, a research report, an offer, a solicitation, or a recommendation to buy, sell or hold any security, instrument or asset, or to adopt any investment strategy.

We are not a registered investment adviser, research analyst, broker, dealer, portfolio manager, or financial planner with the Securities and Exchange Board of India (SEBI) or any other regulator, and we do not purport to be. You are solely responsible for evaluating the merits and risks of any decision you make. You should consult a qualified, independent, licensed financial adviser and conduct your own due diligence before making any financial or trading decision. Trading and investing in securities involve substantial risk, including the risk of losing your entire capital; past performance is not indicative of future results.

3. Assumption of Risk

You acknowledge and agree that any decision you make in reliance on, or in connection with, the Service is made at your own sole risk and discretion. You knowingly and voluntarily assume all risks associated with your use of the Service and with any financial, trading or other decision you make, and you accept full and exclusive responsibility for the consequences of those decisions, including any trading losses, missed opportunities, taxes, fees or other costs.

4. Data Sources and Accuracy

Market data, quotes, corporate information and performance figures displayed through the Service are obtained from third-party and public sources (which may include Yahoo Finance, Screener.in, BSE India, NSE, exchanges, brokers and similar providers). Such data may be delayed, inaccurate, incomplete, out of sequence, unavailable, or wrong, and we do not control, originate, verify or endorse it. We make no representation or warranty as to the accuracy, timeliness, completeness, reliability or fitness of any data, and you must not rely on the Service as your sole or primary source of market information. Do not use the Service for time-sensitive execution decisions; always verify prices and information with your broker or the exchange before acting.

5. Accounts and Security

Certain features require you to sign in (for example, to claim a handle, publish watchlists, or use the creator dashboard). You are responsible for maintaining the confidentiality of your account and credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorised use. We may suspend, restrict or terminate your account or access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms.

6. Acceptable Use

You agree that you will not, and will not attempt to:

• use the Service in violation of any applicable law, regulation, exchange rule, or third-party terms (including those of Screener.in, TradingView, Zerodha Kite, Google, or any data provider);
• reverse engineer, decompile, scrape, overload, disrupt, or gain unauthorised access to the Service or its underlying systems, or circumvent any rate limit, security or access control;
• resell, sublicense, redistribute or commercially exploit the Service or its data except as expressly permitted;
• upload, publish or share content that is unlawful, infringing, misleading, defamatory, manipulative of any market, or that constitutes investment advice you are not licensed to give; or
• use the Service to develop a competing product, or in any manner that could damage, disable or impair the Service or interfere with any other party's use of it.

7. User Content and Public Shares

You retain ownership of the watchlists, notes, descriptions, handles and other content you create ("User Content"). By publishing or sharing User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display and distribute that User Content for the purpose of operating and promoting the Service (including rendering public share pages and directory listings). You are solely responsible for your User Content and represent that you have all rights necessary to publish it and that it does not violate any law or the rights of any third party. We may remove or disable access to any User Content at any time at our sole discretion.

8. Intellectual Property

The Service, including its software, design, branding, text, graphics, and all related intellectual property, is owned by or licensed to EvenTrade and is protected by applicable laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your personal, non-commercial use. No other rights are granted, and all rights not expressly granted are reserved.

9. Third-Party Services and Links

The Service integrates with, links to, or depends on third-party platforms and providers, including Screener.in, TradingView, Zerodha Kite, Google, Supabase, Cloudflare, exchanges and data sources. We do not control and are not responsible for the content, availability, accuracy, security, policies or practices of any third party. Your use of a third-party service is governed by that party's own terms and policies, and any dispute relating to it is between you and that party.

10. Paid Features and Subscriptions

Some features may require payment ("Pro" or similar). Prices, billing cycles and features may change, and any such change will apply prospectively. Payments are processed by third-party payment processors, and you agree to their terms. Except where a refund is required by applicable non-waivable law, all fees are non-refundable. You are responsible for any applicable taxes. We may modify, suspend or discontinue any paid feature at any time.

11. Availability and Changes to the Service

The Service is provided on an ongoing but not guaranteed basis. We may add, change, suspend, limit or discontinue any part of the Service — including features, data feeds, alerts and share pages — at any time, with or without notice, and we are not liable to you or any third party for doing so. We do not guarantee that the Service will be uninterrupted, timely, secure, error-free, or that any alert or notification will be delivered.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service and all data, content and features are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied or statutory. We expressly disclaim all implied warranties, including any warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will meet your requirements, that defects will be corrected, or that the Service or its servers are free of harmful components. No advice or information, whether oral or written, obtained from us or through the Service, creates any warranty not expressly stated in these Terms.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will EvenTrade, its team members, founders, employees, contractors, affiliates, licensors or suppliers be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or trading or investment losses, arising out of or in connection with the Service or these Terms, whether based in contract, tort (including negligence), strict liability, statute or any other theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you actually paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (b) one thousand Indian Rupees (INR 1,000).

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — such as liability for fraud, for death or personal injury caused by our negligence, or for any statutory right that cannot be waived. Where any limitation is held unenforceable, the remaining limitations continue to apply to the fullest extent permitted, and our liability is limited to the smallest amount permitted by law.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless EvenTrade and its team members, founders, employees, contractors, affiliates, licensors and suppliers from and against any and all claims, demands, actions, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of or reliance on the Service; (b) any financial, trading or other decision you make; (c) your User Content; (d) your violation of these Terms or of any law or third-party right; or (e) your violation of the terms of any third-party service. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, the courts at Bengaluru, Karnataka, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts.

Any dispute, controversy or claim arising out of or relating to these Terms or the Service that cannot be resolved amicably shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, the language shall be English, and the arbitration shall be conducted by a sole arbitrator appointed by us. The award shall be final and binding on both parties. To the extent permitted by law, you agree to resolve disputes with us only on an individual basis and waive any right to participate in a class, collective or representative action.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, the licences granted to you end, but any provisions that by their nature should survive — including Sections 2 to 4 and 7 to 18 — will survive.

17. Changes to These Terms

We may update these Terms from time to time as the Service evolves or as required by law. When we make changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

18. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be enforced to the maximum extent permitted by law. Our failure to enforce any right or provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. Headings are for convenience only. There are no third-party beneficiaries to these Terms.
